1. Introduction

This Music Rights Agreement (“Agreement”) is entered into between you (“Creator”) and WillsRecord Inc. (“WillsRecord”), governing the content you upload, publish, and license through the WillsRecord.com platform. By uploading or distributing any musical content on WillsRecord, you agree to the terms set forth herein.

2. Definitions

• “Content” refers to any song, lyrics, beat, instrumental, voice model, audio file, or musical work you upload.
• “Creator” means the original rightsholder of the content being uploaded.
• “Platform” refers to WillsRecord.com and its associated apps, tools, and services.
• “Willscoin” refers to the digital reward token issued by WillsRecord for in-platform activity.

3. Ownership of Content

You, the Creator, retain full ownership of any original content you submit. WillsRecord does not claim ownership of your intellectual property. However, by publishing your content on the platform, you grant WillsRecord the following limited license:

• License Type: Non-exclusive, royalty-free, worldwide, transferable license
• Purpose: Hosting, streaming, promoting, and enabling discovery of your music within the platform and related services
• Duration: As long as the content remains active on the platform

4. Creator Warranties

By uploading content, you warrant that:

• You are the rightful owner or have legal rights to use and publish the content.
• The content does not infringe any copyright, trademark, or rights of publicity/privacy.
• You have obtained appropriate licenses for any third-party material included in your work (e.g., beats, samples).
• The content is not defamatory, illegal, or in violation of any applicable laws.

WillsRecord reserves the right to remove any content that violates these warranties.

5. Platform Rights

WillsRecord may:

• Feature your content on playlists, trends, promotional pages, or newsletters.
• Allow streamers to listen and earn via Willscoin.
• Use excerpts of your content for platform advertising or demonstrations (with attribution where possible).

WillsRecord will not:

• Sell or sublicense your content to third parties without consent.
• Edit your content (except for technical formatting or compliance review).

6. Earnings and Willscoin

• Creators earn Willscoin when their content is streamed or interacted with, per the current WillsRecord engagement model.
• Willscoin may be used within the platform or redeemed under terms set by WillsRecord (subject to change).
• WillsRecord may offer premium placements, tipping, or bonus programs to top-performing creators.

7. Content Removal

You may remove your content at any time via your Creator Dashboard. Upon removal:

• Your license to WillsRecord ends within 30 days.
• Content may remain in backup archives for audit or legal record-keeping.
• All active engagement, monetization, and discovery functions will cease.

WillsRecord may also remove content without prior notice if it breaches this Agreement or platform policy.

8. Limitation of Liability

WillsRecord is not liable for:

• Loss of earnings due to outages, bugs, or technical issues
• Unauthorized use of your content by third parties (e.g., downloads, screen recordings)
• Legal disputes related to your uploaded materials

9. Agreement Updates

This Agreement may be updated as WillsRecord evolves. We will notify you of significant changes. Continued use of the platform after such notice constitutes your acceptance of the revised Agreement.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where WillsRecord Inc. is legally registered, without regard to conflict of laws.
